Semantico Terms of Service

These Terms of Service (“Terms”) govern your use of the Semantico platform and services provided by Semantico Sales Solutions, S.L. (“Semantico,” “we,” or “us”). By using our services, you agree to these Terms. If you do not agree, do not use the services.
1. Services Provided
Semantico offers a SaaS platform that enables automatic creation and optimization of eCommerce catalogs using market-leading AI tools. Access is provided via https://www.semantico.ai (the “Platform”).
The services include:
- Product catalog enrichment and creation
- SEO optimization
- Marketplace integrations
- Multilingual translation
- Priority support
All details of your service package are outlined in the signed Order Form.
2. Subscription Term & Termination
- Your subscription term begins on the date of signature and lasts for the duration specified in the Order Form.
- Subscriptions auto-renew unless either party gives 60 days’ notice before the renewal date.
- Either party may terminate with written notice in the event of material breach not remedied within 10 days.
- Semantico reserves the right to suspend or terminate access if invoices are unpaid after notice.
3. Pricing & Payments
- Fees are outlined in the Order Form.
- Payment is due within 7 days of invoice.
- Prices may be updated with one (1) month’s notice.
- Payments may be made via Stripe or SEPA Direct Debit.
- Late payments incur 1.5% monthly interest.
4. Platform Access & Use
- Clients are responsible for safeguarding access credentials.
- Access is limited to the number of licenses granted in the Order Form.
- Misuse or unauthorized access may result in suspension or termination.
5. Intellectual Property
Semantico retains all IP rights to its platform, software, and services. Nothing in these Terms transfers ownership to the client.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared under these Terms.
7. Data Protection
Semantico complies with the EU General Data Protection Regulation (GDPR) and the Spanish LOPDGDD. Where Semantico processes personal data on behalf of the client, a separate Data Processing Agreement (DPA) shall apply.
8. Limitation of Liability
Semantico shall not be liable for indirect, incidental, or consequential damages. Our liability is limited to the fees paid in the 12 months preceding the claim.
9. Jurisdiction
These Terms are governed by Spanish law. Any disputes will be subject to the jurisdiction of the courts in Barcelona, Spain.
10. Changes to Terms
We may update these Terms. Clients will be notified one (1) month in advance of any material changes.
